Affiliate Program Terms & Conditions

These Terms & Conditions ("Terms") govern your participation in the Book with Schedulo Affiliate Program ("Program"), operated by Solvee Solutions Pvt. Ltd. ("Company", "we", "us"), the company behind Book with Schedulo. By applying to or participating in the Program, you ("Affiliate", "you") agree to these Terms. If you do not agree, do not apply.

1. Eligibility & Application

• You must submit an application and verify your email address before your application is accepted.
• Applications are reviewed manually. Approval is at our sole discretion, and we may decline any application without obligation to give a reason.
• You must provide accurate, current information, including a valid website or professional profile. Spam, misleading, or incomplete applications will be rejected.
• Approval creates an affiliate account with a unique affiliate code and link, and assigns you to a commission tier.

2. How Commissions Are Earned

• Paid conversions only. Commission is earned only when a user you referred makes a successful paid subscription payment. Free signups, trials, and unpaid accounts earn nothing.
• Commission base. Commission is calculated as your tier percentage of the pre-GST amount the referred user actually pays for their subscription, after any discount applied to them. GST and other taxes are excluded from the commission base.
• Attribution. A referral is attributed to you through your affiliate cookie (60 days from click, first click wins), a device-stored fallback, or your coupon code entered at signup, in that order. Where no attribution is present, no commission is earned.
• Coupon discount. Your coupon code may give the referred user a discount on their first month. The discount amount is set by us and may change. The Program and our separate referral program may both apply to the same user; this does not increase or reduce your commission, which is always based on what the user actually paid.

3. Commission Tiers & Window

• Tier 1 — 10%, on payments made within 12 months of the referred user's first payment.
• Tier 2 — 15%, for the lifetime of the referred user's paid subscription.
• Tier 3 — 20%, for the lifetime of the referred user's paid subscription.
• All new affiliates start at Tier 1. Tier upgrades are at our discretion.
• A tier or rate change applies only to commissions earned after the change. Commissions already recorded are not recalculated.
• The commission rate applied to each commission is the rate in effect at the time that commission is earned.

4. Hold Period, Approval & Payout

• Hold period. Each commission is held for 15 days after the related payment clears before it becomes eligible for payout. This protects against refunds and chargebacks.
• Minimum payout. The minimum payout threshold is ₹500. You may request a payout once your cleared balance reaches this amount.
• Payout requests are processed manually, typically within 5 business days of a valid request.
• You must provide valid payout details (UPI or bank account) and a valid PAN before any payout can be processed.
• Payouts are made in Indian Rupees (INR).

5. Refunds, Chargebacks & Cancellations

• If a payment is refunded or charged back for any reason, the related commission is reversed ("clawed back") and deducted from your balance.
• If a clawback occurs after a commission has been paid out to you, we may offset the amount against future commissions or recover it by other lawful means.

6. Prohibited Conduct

The following result in immediate termination and forfeiture of unpaid commissions:

• Self-referrals. You may not refer yourself or sign up using your own affiliate code or coupon. We check the email address and phone number of every referred user against affiliate records; a match is treated as a self-referral.
• Fraudulent traffic. Bots, automated clicks, paid clicks without genuine interest, fake signups, incentivised signups that violate these Terms, or any artificial inflation of clicks, signups, or conversions.
• False or misleading claims. You must not make false, exaggerated, or misleading statements about Book with Schedulo, its features, pricing, or your relationship with us.
• Misrepresentation. You must not imply you are employed by, partnered with, or speaking on behalf of the Company beyond your role as an independent affiliate.
• Trademark bidding, spammy distribution, and unlawful promotion are prohibited.

7. Currency, Conversion & Payout

• Earnings display. Your dashboard shows earnings in US Dollars (USD) by default; you may switch the display to INR or EUR. Display figures are indicative.
• Indian affiliates are paid in Indian Rupees (INR) to a UPI ID or bank account. Where the underlying customer paid in a currency other than INR, the commission is converted to INR at the platform's prevailing conversion rate.
• International (non-Indian) affiliates are paid in USD via PayPal or Wise. No Indian TDS is withheld from international payouts.
• Conversion rate. Conversions use the platform's prevailing rate, which is set by the Company and may be updated from time to time. The current reference rate is 1 USD = 96 INR. Rate changes apply to future charges, conversions, and payouts only — they do not retroactively change commissions, invoices, or payouts already recorded.
• Minimum payout: US $25 (or its INR equivalent for Indian affiliates) of cleared balance before a payout can be requested.

8. Rate Changes & Withholding

• We may adjust commission rates, tiers, the coupon discount, and Program terms with 30 days' notice. Changes apply to commissions earned after the notice period.
• We may withhold or freeze commissions during an active investigation into suspected fraud or breach of these Terms. If the investigation clears you, withheld commissions past their hold period are released.

9. Termination

• Either party may end participation at any time.
• On ordinary termination (not for fraud): commissions that have passed their hold period will be paid out, subject to the minimum payout threshold and valid payout details.
• On termination for fraud or breach: commissions still within their hold period are forfeited, and we may reverse commissions linked to fraudulent activity.
• We may suspend an account pending review; suspended accounts cannot request payouts until reinstated.

10. Tax — PAN, TDS & GST (India)

• Applies to Indian affiliates. PAN, TDS and the items below apply to affiliates resident in India. International affiliates receive gross payouts with no Indian TDS withheld.
• PAN required. Indian affiliates must provide a valid PAN before their first payout. Your PAN is stored securely (encrypted).
• TDS. Once your cumulative commission in a financial year (April 1 – March 31) crosses ₹15,000, TDS is deducted on payouts: 5% where a valid PAN is on file, or 20% where it is not. Each payout statement shows the gross amount, TDS deducted, and net amount.
• TDS deducted is deposited with the government by the Company, and a TDS computation statement is made available to you. Your official TDS certificate (Form 16A) is issued through the government TRACES system after we file our TDS returns.
• GST. If you are GST-registered, you must raise a tax invoice to Solvee Solutions Pvt. Ltd. for your commission; provide your GSTIN in your affiliate account. If you are not GST-registered, no GST applies on your side.
• Your responsibility. You are responsible for declaring affiliate income and meeting your own tax obligations. We are not your tax advisor.

11. Disputes

• Any dispute about a commission must be raised within 30 days of the commission date. After 30 days, the recorded commission is treated as final.
• We maintain records of clicks, signups, conversions, and commissions; in the event of a discrepancy, our records are the reference, absent clear evidence to the contrary.

12. Relationship & Liability

• You are an independent contractor, not an employee, agent, or partner of the Company. These Terms do not create a partnership, joint venture, or employment relationship.
• The Program is provided "as is". To the maximum extent permitted by law, the Company is not liable for indirect or consequential losses arising from your participation, and our total liability is limited to commissions properly owed to you.

13. Changes to These Terms

We may update these Terms. Material changes affecting commission rates or payout terms take effect after 30 days' notice as described in Section 8. Your continued participation after changes take effect constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts at the Company's registered place of business.
